Sponsor Terms and Conditions – Care Bloom LLC

These terms govern an organization's pilot or sponsorship of Blueprint Gift (the "Service") for its employees or members. The organization is the "Sponsor"; each person it enrols is a "Member".
1. Acceptance
These terms bind the Sponsor when an authorized representative accepts them in writing, signs an order, or completes checkout where online checkout is offered. The order, the Pricing Schedule and the Data Processing Addendum form part of this agreement.
2. The Service, and what it is not
The Service writes illustrative monthly wellness plans from interests each Member chooses from fixed lists, and emails them as documents. Members may add people they care for, request care sheets, and invite family to write letters. The Service is not medical advice, diagnosis, treatment or therapy, and is not a substitute for professional care. The Sponsor will not present it as clinical or as compliant with any health-data law that does not apply to it.
3. Free pilot
A pilot is free, covers up to 20 Members and lasts 60 days. No payment information is needed, and nothing converts to a paid sponsorship automatically. The Sponsor then has 30 days to choose to sponsor, or not. If it does not sponsor, Members' accounts are erased at the end of those 30 days, unless a Member chooses to continue as a personal subscriber.
4. Enrolling Members
The Sponsor enrols Members with seat links created in its organization admin console. It shares only what is needed to invite people and is responsible for any notice or consent its own policies require. We encourage Members to register with a personal email address, so their account belongs to them and not to their employment. Each Member accepts the Member Terms and Privacy Policy.
5. What the Sponsor sees, and what it does not
The Sponsor sees enrolment and delivery counts. It never receives a Member's profile, interests, the people they care for, letters, care details or plan content. Care Bloom does not use Member data for the Sponsor's benefit in any other way.
6. The Sponsor's content
The Sponsor may add its logo and a Community Highlights message, such as reminders of its benefits and resources, which appears at the end of its Members' plans. The Sponsor confirms it has the right to use that content, that it is accurate, and that it contains no personal information about any Member. It grants Care Bloom a licence to display it in its Members' plans and emails for the term.
7. Fees and payment
Fees are set out in the Pricing Schedule and the order: currently $20 per sponsored Member per year, minimum 25 Members, billed annually in advance. Fees for a term are fixed for that term. Payment is by invoice, or through Stripe where offered; Care Bloom does not store card details. Fees are non-refundable except where the law requires otherwise, or where Care Bloom fails to deliver the Service and does not put it right within 30 days of notice.
8. Term, renewal and ending
A sponsorship runs for one year from the order date and does not renew automatically; the Sponsor renews by placing a new order. Either party may end it for a material breach not fixed within 30 days of notice. When a sponsorship ends, Members may continue as personal subscribers; otherwise their accounts are erased after a short wind-down, as the Privacy Policy describes.
9. Data protection
Care Bloom processes any identifiers the Sponsor supplies to invite Members only on the Sponsor's behalf, under the Data Processing Addendum. Once a Member registers and uses the Service, Care Bloom is responsible for that Member's information under the Privacy Policy. Each party will notify the other without undue delay of a security incident affecting data it received from the other.
10. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only for this agreement.
11. Ownership
Care Bloom owns the Service, its patent-pending technology and its design. The Sponsor owns its logo and content. Nothing here transfers either.
12. Disclaimers and limitation of liability
The Service is provided "as is". To the maximum extent the law allows, Care Bloom's total liability is limited to the fees the Sponsor paid in the 12 months before the claim (or $100 during a free pilot), and neither party is liable for indirect, incidental, consequential, special or punitive damages.
13. Indemnity
The Sponsor will cover claims arising from content it supplies, from enrolling people without the authority or notice its own obligations require, or from presenting the Service as medical or clinical.
14. General
This agreement, the order, the Pricing Schedule and the Data Processing Addendum are the entire agreement. It is governed by the laws of the State of Florida, with disputes resolved in the state or federal courts located in Florida. Notices go to the contacts given in the order, or to [email protected].
